1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LOCALIZATION LOUNGE, the operator of t09n.com ("t09n," "we," "us," or "our"). By accessing or using the t09n platform, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use t09n. If you are using t09n on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and in-platform notice. Continued use after the effective date of any changes constitutes acceptance.

2. Description of Service

t09n.com is a professional browser-based translation platform that provides:

• A computer-assisted translation (CAT) editor with segment-level editing capabilities
• A proprietary dual-layer translation system that provides automated translation suggestions
• Translation memory (TM) storage, management, and leverage
• Terminology base management and glossary enforcement
• Translation Quality Assessment (TQA) reporting tools
• Multi-format document processing (DOCX, XLSX, PPTX, PDF, HTML, TXT, and more)
• Native support for 10+ Indian languages including Hindi, Tamil, Telugu, Kannada, Malayalam, Bengali, Marathi, Gujarati, Punjabi, and Odia
• Project management and collaboration tools

3. Account Registration

To use t09n, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and complete registration information and keep it up to date
• Maintain the confidentiality of your password and restrict access to your account
• Notify us immediately at [email protected] of any unauthorised access or suspected breach of your account
• Accept responsibility for all activities that occur under your account credentials
• Not create accounts using false identities or create multiple accounts to abuse free tier limits

4. Pricing, Billing, and Payment

4.1 Pricing Plans

Prices are in Indian Rupees (INR) and are inclusive of applicable taxes where required by law. We reserve the right to change pricing upon 30 days' notice to existing subscribers.

4.2 Billing and Payment

• Subscription Plans: Monthly subscriptions are billed in advance on a recurring basis on the anniversary of your sign-up date.
• Pay As You Go: PAYG usage is billed at the end of each calendar month based on actual word count processed.
• Payment Methods: We accept major credit and debit cards, UPI, net banking, and other payment methods available through our payment processor.
• Failed Payments: If a payment fails, we will attempt to process the payment up to three times over a 7-day grace period.
• Invoices: Invoices are automatically generated and sent to your registered email address after each successful payment. GST invoices are available upon request with valid GSTIN.

4.3 Overages

If you exceed your monthly word quota on a Starter, Professional, or Business plan, additional words will be billed at ₹0.12 per word (overage rate). You will receive an email notification when you reach 80% and 100% of your monthly quota.

5. Free Trial

New accounts automatically receive access to the Free plan, which includes 1,000 words per month at no charge. This free allocation does not expire and renews each calendar month. No credit card is required to access the Free plan.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting [email protected]. Upon cancellation, your subscription will remain active until the end of the current billing period.

6.2 Refund Policy

Refunds are not provided for partial months, unused word quota, or change of mind. We may, at our sole discretion, offer a credit or refund for extended platform unavailability, billing errors, or duplicate charges. Refund requests must be submitted within 14 days to [email protected].

7. Acceptable Use

By using t09n, you agree to comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation may result in immediate account suspension or termination without refund.

8. Intellectual Property Rights

8.1 t09n's Intellectual Property

The t09n platform, including its software, design, interfaces, translation technology, algorithms, trademarks, logos, and all associated documentation, is the exclusive intellectual property of LOCALIZATION LOUNGE. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for the purposes described in these Terms.

8.2 Your Content

You retain full ownership of all content you upload to t09n. By uploading content, you grant t09n a limited, non-exclusive licence to process, store, and transmit your content solely for the purpose of providing our services to you. Your translation content is not used to train or improve any shared translation systems without your explicit consent.

8.3 Feedback

If you submit feedback or suggestions for improving t09n, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation or attribution to you.

9. Data and Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

11. Limitation of Liability

To the maximum extent permitted by applicable law, LOCALIZATION LOUNGE shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the greater of: (a) ₹5,000; or (b) the total amount you paid to t09n in the 12 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless LOCALIZATION LOUNGE and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the t09n platform in violation of these Terms.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India.

13.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

13.3 Arbitration

If informal resolution is unsuccessful, any dispute shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, as amended. The language of the arbitration shall be English.

13.4 Jurisdiction

For matters not subject to arbitration, you irrevocably submit to the exclusive jurisdiction of the competent courts in India.

13.5 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Export Control

You agree not to export, re-export, or transfer the platform or any related technology in violation of applicable export control laws.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting [email protected] or using the account deletion option in your account settings.

15.2 Termination by t09n

We reserve the right to suspend or terminate your account if you violate these Terms, for security risks, non-payment, or if we discontinue the service (with at least 60 days' notice).

15.3 Effect of Termination

Upon termination, you will have 30 days to export your translation memories, glossaries, and other content. After this period, your data will be deleted in accordance with our data retention policy.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and LOCALIZATION LOUNGE regarding the t09n platform.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent.

16.5 Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control.
